RESOLUTION N.O. 51�I
A RESOLUTION. of,the.Board of Corninissioners (the- `'Board''] Of Public
'Hospital'District Ne. 3;.Snohomish Count.;Washington 0hei"'District'); authorizing
the Superintendent of.the District.to:execute and submit certain land use'documents
to the City.of Arlington.relating to the development of a medical..office building on
land-o«ned by.the District-:in Arlington.Washington.
WHEREAS,.RCW-7GA4.110 authorizes the board .of any public.hospital:district to lease.
or rent.out.real property of the districtwhich the board has determined by.resolution presently ds
not .required -for-public. hospital district purposes .in such maniier -;>ftd upoii •such terms and
conditioris as.the board.in its4iscretion finds to..be.iit the best interest of the district;..and
'W.HEREAS,:the District..owns undeveloped real pro pem"located-at the..northwcst Garner
-of 2.120 Street NE and.-Medical.Center-D.rive:in Arlington; Washington(the "Property"), and.
'WHEREAS, the Board .has determined that. the Property is not presently required for
.public hospital-.district purposes; and'
WHEREAS;: V WA. - Arlington :MOB, .LLC, -an Ohio. limited liabilit. company. (the
"Prospective Tenant").; has expressed an-interest.in leasing the Property ftbm the.District for the:
purpose of-constructing:a medical:office.building;and
WHEREAS,the District and the Ptospective Tenant are currently negotiating the terms of
-a proposed:ground lease.agreememrelating to the Property; and
'WHEREAS;.prior .to the: execution of the:ground lease, the Prospective Tenant may be.
required-10 submit certain land use applications and other approval requests including but not
limited to an Arlington,Airport Protection Disirict disclosure. statement,-a zoning:permit, a land
use application, vuliicki will include a building site.plan and a boundary line adjtistnient, a design
review-application,a construction permit application,:arid.. ertain.other-documents(the"Land Use.
Documents") :
WHEREA.S,.the Land Use.Documents require-.tlie District's•approval as the.owner of the
Property;
NOW; THEREFO-RE,..BE IT'RESOLVED. by the Board of Coininissioners:of Public
Hospital.District N.o. 3, Snohomish County, Washington,that it hereby approves, authorizes,and.
dir:.ects:the Superintendent'of the'District to execute and'submit the'Land Use Doeuinents to the
City of:Arlington on..the.District's behalf.
BE.IT FURTHER.RES.OL'V'ED by-the Board-of Commissioners that the Superintendent:
is hereby directed, and granted'the.discretionary--authority..,:to-execute.and deliver on.behalf'of the
District'any-arid all notices.and-othet certificates, documents;-agreements.-and instruments that are
necessary or appropriate In.her. discret.ion.to.give effect to this:resolution and to corisumniate the.
transactions.contemplated-herein.
