Grantor is the fee simple owner of certain real property located in'the City of Arlington, Washington, identified above as Lot 3 ("Burdened Property"). 2. Grantee is the,fee simple owner of certain real property located in the City of Arlington, Washington, identified above as Lot 2 (`Benefited Property"). 3. The parties seek to establish and memorialize certain parking rights, obligations, and restrictions necessary to comply with Arlington Municipal Code Chapter 20.72, including AMC 20.72.080 (Satellite Parking). - 4. AMC 20.72 generally requires that off-street parking be located on the same lot as the use it serves; however, satellite parking is permitted where: 4.1 Required parking cannot reasonably be provided on the same lot; and 4.2 _ Such parking. is located within 400 feet of a public entrance of the principal building, except for employee parking which may exceed this distance. 5. The parties acknowledge: 5.1 Lot 2 requires additional parking it cannot provide within its lot boundaries and therefor needs to utilize satellite parking on Lot 3 within 400 feet, subject to the limitations herein. 5.2 'The use of parking on Lot 3 for the benefit of Lot 2 may restrict future development potential of Lot 3 unless otherwise modified in compliance with applicable law. 6. Grant of Easement. Grantor hereby grants and conveys to Grantee an Exclusive Satellite Parking Easement for vehicular parking, ingress, egress, and maneuvering ("Parking Easement") over designated portions of the Burdened Property, as described on Exhibit A(Area Description). 2. Allocation of Parking Rights. 2.1 Lot 2 Benefiting from Lot 3. An easement is granted for the benefit of Lot 2 over designated parking areas on Lot 3 sufficient to satisfy 56 required satellite parking stalls & 1 ADA Parking Stall, subject to: 2.2 All such stalls must-be located within 400 feet of a public entrance of the principal building on Lot 2. 2.3 These stalls are for the Exclusive use of Lot 2 and may only be counted toward Lot 2's minimum parking requirements under AMC 20.72. 2.4 All of the designated 56 Stalls must be for standard parking stalls. The 1 ADA stall shall be van accessible. 3. Development Limitation on Lot 3 The parties acknowledge and agree: 11 Parking spaces on Lot 3 allocated to Lot 2 shall not. be used to satisfy parking requirements for any future development on Lot 3, unless: 3.2 Replacement parking is provided in compliance with AMC 20.72; or 3.3 This-Declaration is amended with City approval. 3.4 This restriction is intended to ensure continued compliance with municipal parking . requirements and shall run with the land. 3.5 Lot 2 may not unreasonably withhold approval of relocating of stalls, provided replacement stalls are provided in accordance with herein. 4. Compliance with Municipal Code. This easement is expressly conditioned upon compliance with City of Arlington Municipal Code Chapter 20.72, including but not limited to: i. Satellite parking distance limitations; ii. Required parking ratios; iii. Continued availability of designated parking spaces. Maintenance and Operation. 5.1 The owner of the Benefitted Property shall maintain the parking areas in a safe and usable condition. 5.2 Costs :of maintenance, repair, striping, lighting, and insurance shall be borne exclusively by the Benefitted Property. 5.3 The parties shall ensure the parking areas remain accessible during required hours of operation. 6. Duration and Running with the Land. This Declaration: 6.1 Shall be perpetual, unless terminated or modified by written agreement of all affected property owners and approved by the City of Arlington. 6.2 Shall constitute a covenant running with the land and be binding upon all successors, assigns, and future owners. 7. Default and Remedies. In the event of breach: 7.1 - The non-breaching party may seek injunctive relief, specific performance, or damages. 7.2 The City of Arlington may enforce compliance as a condition of land use approval. 8. Amendment. Recording. This Declaration shall be recorded in the real property records. of Snohomish County, Washington, and shall provide constructive notice to all subsequent purchasers.
