Commissioners present included Chairperson Cheri Carlson, AJ Chase, Don Munson, Tom Wright, and John Swizer. Staff present included Airport Manager Rob Putnam, Dale Carman, Tim Mensonides and Mary Hine. Visitors included Dick Butner, Debora Nelson, Steve Craigle, Barbara Tolbert, Bruce Angel, Ross Michael, Vic Williams, Mike Hobson, Duane Wilcoxon and 2 students from Arlington.High School. Motion by Commissioner Swizer, seconded by Commissioner Munson the minutes of December 13,2012 were approved as written. Motion carries unanimously. VISITORS Rob introduced and welcomed the new Mayor elect Barbara Tolbert, and also the new councilperson Debora Nelson. Debora will be the acting laison to the Airport Commission. PROJECT CLOSEOUT REPORT—HOLD APRON/TAXIWAY C ASPHALT REPLACEMENT PROJECT Dale addressed the Commission stating that this request is for approval of the Project Closeout Report for the removal and replacement of approximately 1,560 sq.ft. of asphalt pavement spread out amongst two locations: The NW Taxiway C hold apron and Taxiway C adjacent to Cannon Avionics. The asphalt was removed and replaced due to damage caused by jet engine break-in activities by a MIG 29. Motion by Commissioner Chase, seconded by Commissioner Swizer to approve the Project Acceptance Letter and authorize the Mayor to sign it. Motion carries unanimously. LEASE MODIFICATION LOT 37 Rob explained that in 2005 the lease for Lot 37 was assigned from GM to PB Associates. At that time PB Associates had been occupying the building for several years. In 2009 both parties entered into a lease modification that expanded the leased area and that was comprised of two parts. The first part extended the lease to August 9, 2029 if specific improvements were made to the existing building and site. All those improvements have been completed. The second part extended the lease to August 9, 2049 if a new building was constructed on the expanded portion of the site. This is the portion of the property that they have requested be removed from the lease. TIAW-3 Motion by Commissioner Chase, seconded by Commissioner Swizer to approve the lease modification for PB Associates by reducing Lot 37 to 41,291.96 sq.ft. and changing the lease termination date to August 9, 2029. Motion carries unanimously. NW ARCHAEOLOGICAL ASSOCATE CONTRACT Rob explained that this scope of work has two parts. The first part involves cultural background research for the entire business park along with the associated follow up reports. The cost estimate for this portion of the scope is $5,157.00 and will be paid for out of professional services. Part two consists of the field study and analysis for the proposed 173rd St. along with the follow up reports. The cost estimate for this portion of the study is $12,862.00 and will be paid for out of the reserve funds slated for the 173rd project. When reviewing the old business park documentation it was noticed there was no indication that a cultural review was completed for the business park. The only reference in the file was from the Stillaguamish Tribe stating that there might be an issue and a letter from the developer's (Davis & Silesky's) attorney stating that there was not an issue. This study will help clear up the issue and is especially important if we request any federal funds. An individual study was completed on the entire length of Airport Blvd. the tribe was consulted on the scope and their records do not show any trails through this area. The tribe has requested that we look at the soils north of Weston when we do further geotechnical work. Motion by Commissioner Swizer, seconded by Commissioner Munson to approve the scope of work by NW Archaeological Associates for an amount not to exceed $18,019.00. Motion carries unanimously. KVA ELECTRIC LEASE FOR HANGAR 57B Rob addressed the Commission stating that KVA Electric and the airport have negotiated a 5-year lease for Hangar 57B. KVA Electric has been leasing the building on a month to month basis while both parties tried to negotiate a purchase price. The airport appraisal and KVA Electric appraisal were so far apart we could not reconcile the difference, so a 5-year lease was agreed upon. Motion by Commissioner Munson, seconded by Commissioner Swizer to approve entering into a 5-year lease with KVA Electric for hangar 57B at $2,200.00 per month for the first 2 years, then adjusted by CPI annually for the following 3 years.. Motion carries unanimously. OUT OF THE BLUE AVIATION LEASE ASSIGNMENT Rob informed the Commission that Mighell Enterprises, LLC took over ownership on the improvements on Lot 30A in 2005. Upon completion of the building improvements the lease term was extended to December 31, 2040. Universal Aerospace Co., Inc. already has the lease for lots 30B and 32A. Universal also subleases the building on 32B. Universal Aerospace is a manufacturer of products. One of their contracts is for the construction of wing tips. r, �: � I I I i Motion by Commissioner Chase, seconded by Commissioner Wright to approve a lease assignment from Out of the Blue Aviation to Universal Aerospace Co. for uses compatible with the zoning. Motion carries unanimously. VIKAS & AMKO LEASE ASSIGNMENT Rob addressed the Commission explaining that the original lease was with Ralph& Mary Ann Monty commencing on September 1, 1997. This is the site that has the mini-mart and car wash on 172"d. After construction was completed the lease was assigned to MEK Corporation in 1998. In 2004 the lease was assigned to Vikas & Amko. About six months ago Vikas &Amko started bankruptcy proceedings. At that time the bank took control of the account and brought everything current except for $200.00 in penalties. Motion by Commissioner Swizer, seconded by Commissioner Munson to approve the lease assignment from Vikas & Amko to HBY Inc. subject to person guarantees. Motion carries unanimously. CARRERA HANGARS BUILDING B LP LEASE MODIFICATION Rob explained that Carrera Hangars Building b 1p has requested a lease amendment to the lease on Lot 13. The amendment will change the lease start date from Tune 1, 2012 to February 1, 2012. Both parties entered into the original lease on August 31, 2011, with a start date of June 1, 2012. Carrera Group has inquired about the possibility of moving the lease date up to February 1, 2012. We currently have I 1 tenants in B hangar that are waiting for the completion of the new A Hangar. Two additional temporary tenants are in B Hangar but are not eligible for the discounted rates. The Carrera Group indicated that they were in the process of offering additional incentives to entice the 11 tenants to move by January 31, 2012. The intent is to reduce Carrera's cost by demolishing both buildings at the same time. Carrera states that all the tenants have agreed to make the move. Staff has request copies of the signed agreements for verification purposes. Duane Wilcoxon stated that there are still 2 parties that have not signed the agreements. Carrera has proposed paying the Airport the additional revenue that we would lose by going to the ground rate early. The construction of the water line was conditioned on the completion of the new Hangar B. Staff has asked that the completion date be moved up to December 31, 2012. Motion by Commissioner Chase, seconded by Commissioner Munson to approve the lease modification to Carrera Hangar Building B LP subject to the addition of December 31,2012 for the water line completion date and signed agreements from all tenants. Motion carries unanimously. INFORMATIONAL The meeting for the Master Plan is scheduled for January 24, 2012. Cycle Cross was so impressed with the Arlington Airport the they would like to possibly hold their 2012 event here. The event would take place in the greenbelt next to 43`d ,they will be flagging a course and a trail will be made. r .S i � V WSDOT has hired a consultant to do a work study on the possible move to Olympia. A brief review was given on Lot 108 concerning the cleanup and removal of the pipe and dirt.
