DEFAULT OF TENANT - CANCELLATION -- DAMAGES - FEES: Time is of the essence hereof. In the event that Tenant fails to keep or perform any of the covenants or agreements herein contained, the Landlord may either elect to proceed under the provisions of RCW Title 59; or may cancel this Lease upon written notice thereof to Tenant. DESTRUCTION OR LOSS - FIRE INSURANCE: In the event that any structure(s) on the Leased Premises is destroyed or substantially damaged by fire, earthquake or other casualty, then Landlord, at its option, may proceed to rebuild or restore the said structure(s) or such part thereof as may be damaged Landlord shall have thirty (30) days after such destruction or damage to notify Tenant, in writing of Landlord's intentions In the event the entire scheduled structure(s) is less than twenty-five percent (25%) damaged or destroyed, Landlord shall promptly repair or restore the same. During the period of rebuilding or restoration, the rent shall be abated in the same proportion as the portion of the Leased Premises rendered for the time unfit for occupancy shall bear to the whole Leased Premises. If Landlord shall fail to notify Tenant of its intention to restore or rebuild after a loss exceeding twenty- five percent (25%) within the thirty (30) days as aforesaid, then this Lease shall. at the expiration of said thirty (30) days. be terminated, at which point, all rights and liabilities by and between the parties shall thereupon cease except as to any liability of Tenant to Landlord for uninsured damages to Landlord due to damage or loss resulting from Tenant's breach of its duty to restore Leased Premises and property to Landlord 10. EMINENT DOMAIN: If more than twenty-five percent (25%) of Leased Premises shall be taken or appropriated by any public or quasi-public authority under the power of eminent domain, either party hereto shall have the right at its option, to terminate this Lease, and Landlord shall be entitled to any and all income, rent, award or any interest therein whatsoever which may be paid in connection with public or quasi-public use or purpose, and Tenant shall have no claim against Landlord for the value of any unexpired Term of this Lease If either less than twenty-five percent (25%) of Leased Premises is taken, or more than twenty-five percent (25%) is taken and neither party elects to terminate as herein provided, the Rent thereafter to be paid shall be abated in the same proportion as Leased Premises taken shall bear to the whole Leased Premises. 11 SIGNS: All signs or symbols placed by the Tenant in the windows and doors of Leased Premises, or upon any exterior part of the building, shall be subject to Landlord's approval At the termination of this Lease the Tenant shall remove all signs placed by it upon the Leased Premises and shall repair any damage caused by such removal. All signs must comply with sign ordinances and be placed in accordance with required permits 12. LIENS AND INSOLVENCY: Tenant shall keep the Leased Premises free from any liens arising out of any work performed for, materials furnished to, or obligations incurred by Tenant and shall hold Landlord harmless against the same In the event Tenant becomes insolvent, bankrupt, or if a receiver, assignee or other liquidating officer is appointed for the business of Tenant, Landlord may cancel this Lease at its option. 15. ANIMALS: Under no circumstances are pets or animals of any kind allowed in, upon or about Leased Premises without prior written consent of Landlord. 16. (c� Unlawful Uses: Tenant shall not use Leased Premises or permit anything to be done in, upon or about Leased Premises which will in any way conflict with any law, statute. ordinance or government rule or regulation now enforced or which may hereafter be enacted or promulgated. HOLDING OVER: If Tenant remains in possession of Leased Premises or any part thereof after the expiration of the Term hereof. such occupancy shall be a tenancy from month to month at a Rent in the amount of the last monthly Rent plus all other charges payable hereunder, and upon all the Term hereof applicable to a month to month tenancy A 5% surcharge will be added to all month-to-month leases 19. RIGHT OF ENTRY: Tenant shall allow Landlord, or Landlord's representative, access to Leased Premises at reasonable times for the purpose of inspection within 24 hours of notice 20 ATTORNEYS FEES In the event the Landlord retains the services of an attorney to enforce the terms of this agreement, the Tenant agrees to pay all attorney's fees and costs incurred by the Landlord. In the event of litigation. the successful party shall be entitled to recovery of attorney's fees and costs from the unsuccessful party 21. TIME IS OF THE ESSENCE: Time is of the essence of this Lease Agreement and each and every Term, covenant and condition hereof. Failure of either party to enforce rights or seek remedies upon any default with respect to any obligation of this agreement shall not constitute a waiver by either of the parties hereto of any other breach of any Term. covenant or condition, or any subsequent breach 22 PERSONAL PROPERTY TAXES: Tenant shall pay, or cause to be paid, before delinquency, any and all taxes levied or assessed during the Term hereof upon all Tenant's leasehold improvements, equipment. furniture, fixtures and personal property located in Leased Premises In the event any or all of Tenant's leasehold improvements, equipment. furniture, fixtures and personal property shall be assessed and taxed with the building, Tenant shall pay to Landlord its share of such taxes. 23 REMOVAL OF PROPERTY: In the event Landlord lawfully re-enters Leased Premises as provided herein. Landlord shall have the right, but not the obligation, to remove all the personal property located therein and to place such property in storage at the expense and risk of Tenant. 24. SUBORDINATION: Tenant agrees that this Lease shall be subordinate to any mortgages or deeds of trust, placed on the property, provided, that in the event of foreclosure, if Tenant is not then in default and agrees to attorney to the mortgagee or beneficiary under deed of trust, such mortgagee or beneficiary shall recognize Tenant's right of possession for the Term of this Lease. 25. NO WAIVER OF COVENANTS: Any waiver by either party of any breach hereof by the other shall not be considered a waiver of any future similar breach. (a) Indemnity: Tenant shall indemnify and hold Landlord harmless from any and against any and all claims arising from Tenant's use of Leased Premises, or from the conduct of lessee's business or from any activity, work or things done, permitted or suffered by Tenant in, upon or about Leased Premises or elsewhere and shall further indemnify and hold harmless Landlord from and against any and all claims arising from any breach or default in the performance of any obligation on Tenant's part to be performed under the terms of this Lease, or arising from any negligence of the lessee or any of lessee's agents, contractors or employees, and from and against all costs. attorneys fees, expenses and liabilities incurred in the defense of any such claim or any action or proceeding brought thereon, and in case any action or proceeding be brought against Landlord by reason of such claim, Tenant, upon notice from Landlord, shall defend the same at Tenant's expense Tenant, as a material part of the consideration to Landlord, hereby assumes all risk of damage to Tenant's property in, upon or about Leased Premises including property owned by the Tenant or third parties, or injury to persons in, upon or about the Leased Premises, from any cause other than the Landlord's negligence, and Tenant hereby waives all claims in respect thereof against Landlord Tenant shall give prompt notice to Landlord in case of fire or accident on Leased Premises or in the building or of defects therein (b) Liability Insurance: Tenant shall, at Tenant's expense, obtain and keep in force during the Term of this Lease, a policy of comprehensive public liability insurance. naming Landlord as an additional insured, against any liability arising out of the ownership, use, occupancy, or maintenance of Leased Premises, and all areas appurtenant thereto. The limit of said insurance shall not limit the liability of Tenant hereunder. Tenant may carry said insurance under a blanket policy. Evidence of such insurance shall be furnished in the form of a certificate to Landlord stating that should any of the above-described policies be cancelled before the expiration date thereof, the issuing company will mail 10-days written notice to the named certificate holder. If Tenant shall fail to procure and maintain said insurance, Landlord may, but shall not be required to procure and maintain same, but at the expense of Tenant All policies shall be written in a form satisfactory to Landlord and shall be procured from insurance companies holding a General Policyholders Rating of "A" and a Financial Rating of "V or better, set forth in the most current issue of Best Insurance Guide. (c) Property Insurance: Landlord assumes the full risk of damage to Leased Premises and to the building therein, including the loss of rental values of such building, resulting from all perils included within the classification of fire, extended coverage, vandalism, malicious mischief ("ail risk" as such terms is used in the insurance industry). Landlord shall, at Tenant's expense, and at all times during the Term of this Lease Agreement, keep upon Leased Premises hereby leased all risk coverage, which policy or policies shall contain a replacement cost endorsement and may be for the full insurable value of said building. Said policy or policies shall also include 100% rental income loss insurance covering a period of six months with loss payable to Landlord. Landlord and Tenant hereby mutually waive their respective rights of recovery against each other for any loss insured, including fire and other risks listed above, existing for the benefit of the respective parties. Nothing herein shall he construed to waive Landlord's right to recover the deductible portion from the Tenant if the loss is caused by Tenant's negligence. Each party shall obtain any special endorsements required by their insurer to evidence compliance with the waiver of subrogation specified above. 29. HAZARDOUS WASTES AND POLLUTION: The Tenant shall not permit dangerous waste, hazardous waste or extremely hazardous waste as defined by RCW 70.105.010 et seq. to exist in, upon or about Leased Premises and shall, at Tenant's sole expense undertake to comply with all rules, regulations, and policies of the Washington State Department of Ecology, the United States Environmental Protection Agency and Puget Sound Pollution Control Agency. Tenant shall promptly notify the Landlord and the fire chief of the City of Arlington of the existence of dangerous waste, hazardous waste or extremely hazardous waste. Tenant shall comply with any provisions of the local hazardous waste plan as now in existence or hereinafter enacted. Tenant shall comply with any requirements for hazardous waste disposal as may be imposed by RCW 70.05I3.030 in the State Department of Ecology Tenant shall not permit any water or air pollution which exceeds standards promulgated by federal, state and local agencies. It shall be the Tenant's sole responsibility during the Term of this Lease to prevent the disposal of any dangerous, hazardous or extremely hazardous waste, or any other waste, which would cause any damage to any of the storm drains and/or sewer/septic drains located upon Leased Premises. It shall be presumed that any such waste discovered in the storm and or sewer/septic drainage systems was allowed to be placed there by the Tenant during the Term of this Lease. Notwithstanding any other terms in this Lease, any violations of the previous two paragraphs by the Tenant shall entitle the Landlord to declare this Lease immediately terminated and all interest of the Tenant shall be forfeited, and the Landlord shall have the right to re-enter Leased Premises and to remove Tenant and to remove and/or store Tenant's property at Tenant's risk and expense. Election of the Landlord to cancel this Lease shall riot extinguish the liability of the Tenant for damages including but not limited to the cost of the removal of any such waste and all future liabilities related to the storage of the removed waste 30 RESTRICTIONS: This Lease is subject to the terms and conditions of the Landlord's Lease with the City of Arlington 31.
