RPI shall indemniff, defend and hold Mayo and its employees, officers, directors, agents, contractors, consultants, representatives, and invitees harmless from and against any loss, cost, damage, injury, expense (including reasonable attorney's fees), cause of action, arbitration, claim and/or lien arising, filed or made against or incuned by an indemnified person and/or the Mayo Property to the extent arising or incurred by reason of the acts or omissions of RPl, its tenants, guests, customers, tontracts agents, employees or invitees in the performance of any maintenance or in connection with its rights under this Easement.
