APPROVAL OF THE AGENDA Mayor Pro Tem Jan Schuette moved to approve the agenda as presented. Councilmember Marilyn Oertle seconded the motion, which passed with a unanimous vote.

PUBLIC COMMENT City Clerk Wendy Van Der Meersche stated that three written public comments were submitted from Highland View Estates residents, Sabrina Brown, Shawna Storms, Cathleen Lippman, Chris Beaty, Allan Yotty, Dominic Ferenczy, and Billy Clark, who have continuing concerns regarding parking from Centennial Park residents.
CONSENT AGENDA Mayor Pro Tem Jan Schuette moved and Councilmember Marilyn Oertle seconded the motion to approve the Consent Agenda that was unanimously carried: 1. NEW BUSINESS
Resolution Declaring an Emergency with the Water Main Repair at Washington
Trucking Public Works Director Jim Kelly requested Council approve an emergency declaration for the Washington Trucking water main repair, located at 6615 172nd St, and the purchase of necessary pipe and fittings from Ferguson Waterworks.
Councilmember Debora Nelson moved and Councilmember Don Vanney seconded the motion to approve the resolution declaring an emergency for water main repair work, waiving competitive bidding requirements, and authorizing the purchase of necessary materials in the amount of $106,518.24 from Ferguson Waterworks, and authorized the Mayor to sign the resolution. The motion passed unanimously.
Fire District 21 Reimbursement Agreement Public Works Director Jim Kelly requested Council accept the establishment of a reimbursement agreement, as allowed by Arlington Municipal Code 13.24 to recover costs for installing the water main. Councilmember Debora Nelson moved and Councilmember Marilyn Oertle seconded the motion to accept the reimbursement agreement application for the Fire District 21 McElroy Road water main extension project, and authorized staff to move forward with the process to establish a reimbursement agreement for this project. The motion passed unanimously.
WEDFA Bond Resolution Community and Economic Development Director Marc Hayes requested Council approve a resolution approving Mura Cascade’s use of WEDFA financing for construction installation, and operation of a facility that extracts high grade and valuable chemicals (oils, waxes and naphtha), through a proprietary process, converting approximately 130,000 tons per year, of plastic waste feedstock. It does not supplement or replace any portion of the normal permitting process. There is no liability against the City of Arlington created by issuance of WEDFA's bonds or adoption of this resolution. Mayor Pro Tem Jan Schuette moved and Councilmember Debora Nelson seconded the motion to approve the resolution approving the action of WEFDA, and authorized the Mayor to sign it. The motion passed unanimously.
Land Acknowledgement Statement City Administrator Paul Ellis requested Council support a yearly proclamation of land acknowledgement to the Stillaguamish Tribe of Indians, and authorize a plaque to be made and displayed in Council Chambers. Discussion followed.

Authorization to Accept Funding for Innovation Center, Phase 2 City Administrator Paul Ellis requested Council authorize the acceptance of the state grant and construction contract, and dedicate American Rescue Plan Act (ARPA) funds for the Innovation Center Phase 2. Mayor Pro Tem Jan Schuette moved and Councilmember Marilyn Oertle seconded the motion to approve the funding and construction contract, and authorize the Mayor to sign the contracts, subject to final review by the City Attorney. The motion passed unanimously.
Easements for Cascade Natural Gas High Pressure Pipeline Replacement Community and Economic Development Director Marc Hayes requested Council approve easements for Cascade Natural Gas high pressure pipeline replacement. Mayor Pro Tem Jan Schuette moved to approve the easement request, and authorized the Mayor to sign the easement documents, subject to final review by the City Attorney. Although a second was not noted, the Council passed the motion unanimously (7-0).
Designation of Real Property for Public Right of Way for the Northeast Corner of
43rd Avenue and 172nd Street Community and Economic Development Director Marc Hayes requested Council approve the designation of a strip of real property for public Right of Way purposes, for the construction of a roundabout at the intersection of 43rd Avenue/172nd Street, related to Project Roxy. Mayor Pro Tem Jan Schuette moved and Councilmember Don Vanney seconded the motion to approve the designation of the described real property for public Right of Way purposes, subject to final review by the City Attorney. The motion passed unanimously.

ADMINISTRATOR & STAFF REPORTS City Administrator Paul Ellis provided an update regarding today’s storm. The river crested at 6:00 p.m., and is receding, with no damage or flooding within city limits. There was no wind damage reported, and minor urban flooding. Crews will be cleaning up branches and debris.
MAYOR’S REPORT The Mayor reported that she attended an open house on Veteran’s Day for the Coop, located in the Emory Lofts building. They provide co-working and startup space. She stated there is a lot of space in a beautiful facility.

WORKSHOP ITEMS – NO ACTION WAS TAKEN
Development Agreement with N.W. Custom Aircraft Hangars, LLC City Attorney Steve Peiffle reviewed the proposed development agreement with N.W. Custom Aircraft Hangars, LLC, related to the planned construction of aircraft hangar buildings on Lot 404-B and Lot 404-C, leased parcels on the airport. The City wishes to enter into this agreement to ensure that the multi-year construction of the hangar project will be conducted in a timely and organized manner acceptable to the City of Arlington. Per AMC 20.39.040, a public hearing will be conducted in Zoom format at the City Council meeting on December 6, 2021. Discussion followed with Mr. Peiffle answering Council questions.
Gilman Walk Final Plat Planning Manager Amy Rusko reviewed the final plat of Gilman Walk unit lot subdivision, termination of easements, dedications of right of way and tracts for city signatures and recording at Snohomish County Auditor’s Office per AMC 20.16.360 and AMC 20.16.380. All performance bonds and maintenance bonds have been submitted and approved by the city. This final plat is related to the Gilman Walk unit lot subdivision approved by the hearing examiner on March 4, 2020. The building designs were approved by the design review board on January 28, 2020, and the development agreement was approved by City Council on

July 7, 2020. All city code requirements have been met to proceed with final plat. The termination of easement agreement removes previous roadway easements from 1930, 1968, 2009, and 2011. The resolution accepts the dedication of right of way, utility easements and open space tracts to the City of Arlington for public right of ways, and access to utilities and public open space, as shown on the final plat map.
Prairie Creek/Burlington Northern Santa Fe (BNSF) Culvert Design Contract Public Works Director Jim Kelly reviewed a proposal from Murraysmith (MSA) to update the final design for the BNSF culvert on Prairie Creek, in order to complete the final culvert in the Prairie Creek culvert project. In 2012, the city began working to mitigate flooding impacts to businesses along 204th St. and in the Jensen Business Park that were caused by a developer’s rerouting of a drainage way into Prairie Creek. The culverts at 71st Ave, 74th Ave, 204th Ave, BNSF, and 69th Ave were undersized to pass the increased flow. The city contracted with Murraysmith in 2012 for analysis, permitting and design of larger fish-passable culverts and channel restoration to resolve the flooding issue and make this creek capable of passing 100-yr storm event. All culvert replacement and creek restoration work has been completed except for replacement of the culvert crossing beneath the BNSF railroad tracks and restoration of the creek channel immediately upstream from the culvert. The city applied for and received a grant from FEMA to fund this final flooding and creek restoration work. Phase 1 is for the design phase, and the city has elected to continue with the original design firm, MSA, for the final design. This project is on a tight timeline, because the design must be completed, permits renewed, the project bid, and a contractor on board ready to perform work for the 2022 fish window (August 2022). Discussion followed with Mr. Kelly answering Council questions.
Ordinance Amending the 2021 Budget and Modifying the 2022 Budget Finance Director Kristin Garcia reviewed the ordinance amending the 2021 budget and modifying the 2022 budget. A public hearing will be held December 6, 2021, to allow for public comments on the budget amendments and modifications. Following the public hearing on December 6, 2021, the Council will be asked to take action on the ordinance. A draft of 2021 proposed budget amendments were reviewed with Council on September 27, 2021. A draft of 2022 proposed budget modifications were reviewed with Council on October 26, 2021.

MAYOR’S REPORT Mayor Tolbert invited everyone downtown for the Christmas tree lighting in Legion Park on Saturday.

RESOLUTION NO. 2021- XXX
A RESOLUTION REGARDING THE PROPOSED DEDICATION OF RIGHT OF WAY, UTILITY EASEMENT AND
OPEN SPACE LOCATED WITHIN THE FINAL PLAT OF GILMAN WALK UNIT LOT SUBDIVISION
WHEREAS, the City of Arlington has identified public right of way (E Gilman Avenue and Gilman
Way), utility easements (#1-10 on sheet 2 of the final plat map) and Open Space (Tract P and Tract Q)
within the Gilman Walk Unit Lot Subdivision and wishes to accept dedication of said public roadways,
utility easement, and open space; and
WHEREAS, it was identified that LGI Homes – Washington LLC constructed the public roadways,
created the utility easement tracts, and created open space tracts; and
WHEREAS, the City has determined that the public roadways and utility easements are
necessary to the City’s operation; and
WHEREAS, the City has determined that the open space tracts are an opportunity to gain
additional public open space; and
NOW, THEREFORE, the City Council of the City of Arlington Washington do hereby resolve as
follows:
1. The City Council accepts the dedication of public right of way of E Gilman Avenue and
Gilman Way as depicted on the Final Plat map of Gilman Walk Unit Lot Subdivision.
2. The City Council accepts the utility easements listed as #1-10 on sheet 2 of the Final Plat
map of Gilman Walk Unit Lot Subdivision.
3. The City Council accepts the dedication of open space (Tract P and Tract Q) as depicted on
the Final Plat map of Gilman Walk Unit Lot Subdivision.

ORDINANCE NO. 2021—XXX
AN ORDINANCE AMENDING ORDINANCE 2020-029 WHICH ADOPTED THE
2021 – 2022 BIENNIAL BUDGET OF THE CITY OF ARLINGTON BY PROVIDING
TRANSFER AND ADJUSTMENT AUTHORITY FOR CALENDAR YEARS
2021 AND 2022
WHEREAS, staff has identified the need to make certain revisions to the 2021-
2022 Biennial Budget that were not foreseen when Ordinance No. 2020-029 was adopted
on November 16, 2020, and
WHEREAS, this ordinance was introduced with proper notice and citizens have
been given the opportunity to comment, and
WHEREAS, because this will require increasing the appropriation level in one or
more funds, an amendment is needed, NOW THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ARLINGTON WASHINGTON AS FOLLOWS;
Section 1. Pursuant to RCW 35A.34.130, the 2021 Budget section of the 2021-2022 biennial
budget is hereby amended to provide for adjustments to expenditures, and by providing
authority for any necessary transfers of money within or between funds as indicated in the
“Amendment” column on the attached document Exhibit A.
Section 2. That the attached is a summary of the amended budget for the year 2021 for the City
of Arlington and that copies of the detailed amended budget are available to any interested
taxpayer at the Finance Department, City Hall, Arlington, Washington.
Section 3. Pursuant to RCW 35A.34.130, the 2022 Budget section of the 2021-2022 biennial
budget is hereby modified to provide for adjustments to expenditures, and by providing
authority for any necessary transfers of money within or between funds as indicated in the
“Modifications” column on the attached document Exhibit B.
Section 4. That the attached is a summary of the modified budget for the year 2022 for the City
of Arlington and that copies of the detailed modified budget are available to any interested
taxpayer at the Finance Department, City Hall, Arlington, Washington.
Section 5. This ordinance shall be in full force and effect five days after its passage and
publication of a summary consisting of the ordinance title hereof as authorized by law.

enter into this agreement to ensure that the multi-year construction of the hangar project will be conducted in a timely

Because the Development Agreement and the Lease Agreements for both Lots 404-A and 404-B are closely integrated, each agreement provides support to the other, ensuring protection of the City’s interest. The Airport Commission, at their November 9, 2021 meeting, recommended approval by City Council, of both the Development Agreement and the leases for Lots 404-B and Lot 404-C. Note: Both building plans and civil plans have expired for this project, and will require that new plans be submitted for

be extending a water main to serve the new fire station. The minimum water main size for this extension is an eight-inch pipe, however the Arlington Water Utility is paying material costs to upsize the water main to a 12-inch pipe. The fire district has approved plans and an executed utility extension agreement, and are now requesting city council approval to develop a reimbursement area as allowed by AMC 13.24 to recover some of the construction costs for this water main extension. Fire district engineers have worked with the city engineer to develop a reimbursement area consisting of 21 properties that would benefit from this water main extension. They have developed a reimbursement fee to be shared among the 21 properties based on the project bid amount, less $100,000.00 cost contribution by the fire district, and $92,925.00 material cost payment by the

appropriate reimbursement fee and the City of Arlington water connection fees. No changes to this agreement will be permitted, including changes to the benefiting area and properties, without approval by the City of Arlington and Fire District 21. THIS UTILITY REIMBURSEMENT AGREEMENT (the “Agreement”) is made and entered
into this ____ day of December, 2021, by and between SNOHOMISH COUNTY FIRE DISTRICT
NO. 21, (hereinafter "Owner") and the City of Arlington, Washington (hereinafter "City").
WHEREAS, Owner has installed or caused to be installed certain improvements which
exceed the requirements for the development of a fire station located outside of the City limits but
inside the City's service area as identified in the North Snohomish County Coordinated Water
System Plan and City Water System Comprehensive Plan, as amended; and
WHEREAS, the City is willing to allow the Owner to be reimbursed for the cost of Extension
improvements under certain terms and conditions as set forth herein; and
WHEREAS, Owner has provided notice to identified benefiting property owners pursuant
to Arlington Municipal Code (AMC) section 13.24.070, and the City Council approved creation of
the Benefit Area and the reimbursement provisions as called for herein; and
WHEREAS, the City is willing to connect the Owner to the City’s water system and to allow

reimbursement on the terms set forth herein; and
WHEREAS, the parties desire to enter into a contract pursuant to the authority of RCW
35.91, whereby provisions are made for the reimbursement of Owner and Owner’s assigns by
any owner of real estate who did not contribute to the original cost of the Extension, as defined
herein, who subsequently connects to the Extension improvements.
NOW, THEREFORE, it is agreed by and between the parties hereto as follows:
1. Description of Property.
1.1 Owner's Property. The Owner is the owner of certain real property located at
17827 McElroy Road, Arlington, Washington, Snohomish County Assessor Parcel No. 310619-
003-013014-00 (the "Property"), legally described as set forth on the attached Exhibit A,
incorporated herein by this reference, which Property is located outside of the City limits but inside
the City's water service area as identified in the North Snohomish County Coordinated Water
System Plan and City Water System Comprehensive Plan, as amended, and the Owner wishes
to connect to the City's water utility system(s).
1.2 Benefited Properties. The Extension, as defined below, will create a benefit area
serving twenty-two (22) parcels comprised on of twenty-eight (28) units (the “Benefit Area”) as
described in Exhibit B, incorporated herein by reference, which benefit area is located outside of
the City limits but inside the City’s service area as identified in the North Snohomish County
Coordinated Water System Plan and City Water System Comprehensive Plan, as amended.
2. System Improvements. The City has reviewed and approved the Owner’s proposed
plans for a water line extension, which is more particularly described on the attached Exhibit C
(the “Extension”).
2.1 Title to Improvements. Title to the Improvements shall be addressed in the Utility
Extension Agreement of even date between the parties.
3. Payment of Reimbursement. For a period of twenty (20) years after execution of this
contract, no person, firm, or corporation who has not contributed to the original cost of the
Extension (hereinafter "Latecomer") and who owns property within the Benefit Area shall be
granted a permit or be authorized to connect to the Extension without first paying to the City of
Arlington, in addition to any and all other costs and charges made or assessed for such
connection, the amount required to reimburse Owner for the fair pro rata share or cost of
construction of the Extension, said amount to be computed in accordance with the formula set
forth in paragraphs (4) and (5), below. All amounts so received by the City, subject to the
provisions of paragraph (5), below, shall be paid to Owner or its assigns within sixty (60) days
after the receipt thereof. The City shall not be obligated to collect any reimbursement amounts
after the expiration of the term of this Agreement.
4. Reimbursement Amount. The Reimbursement Amount to be paid by persons
connecting to the Extension pursuant to paragraph 3, above, shall be $13,863.00, per standard
residential 5/8” water meter service. This base cost shall be increased for larger water meter
services based on a meter factor as established by the American Water Works Association
(AWWA) and approved by the City Engineer. The decision of the City Engineer or his or her
designee concerning the Reimbursement Amount for larger water meter services shall be final

and conclusive. The maximum amount recoverable from Latecomers under this Agreement shall
be $291,125.00.
5. Reimbursement in Addition to Other Fees; Administrative Fee. The Reimbursement
Amount above referenced shall be in addition to and shall not include any other connection
charges, application charges, capital improvement charges or other fees customarily levied by
the City. Of this Reimbursement Amount, from the Owner’s Share there shall be deducted an
amount equal to five percent (5.0%) of the amounts collected, which shall be retained by the City
of Arlington for the costs of administering this agreement.
6. Indemnification. Owner agrees to indemnify, defend and hold the City harmless from
any and all costs, including attorney's fees and expert witness fees, in the event of suit being filed
contesting the validity of this agreement, any assessment made hereunder, or the procedures
followed by the City in establishing the reimbursements hereunder, or in connections with any
claim, demand, suit or action in connection with the System.
7. Enforcement. The City does not agree to assume any responsibility to enforce this
agreement. If the City becomes aware of persons obligated to pay reimbursement under this
agreement, it shall use its best efforts to collect the reimbursement amount, but shall not incur
any liability in the event it fails to collect such amount. This agreement shall be a matter of public
record and will serve as notice to all potential Latecomers of their obligations hereunder.
8. Owner’s Duty to Inform City of Address Changes. Pursuant to 35.91.020, Owner or
Owner’s assignee under this contract shall, not less than every two years from the date of
execution of this contract, provide the City with information in writing regarding the current name,
address, and telephone number of the person, company, or partnership that originally entered
into the contract and any assignee of the right to reimbursement. If the property owner fails to
comply with the notification requirements of this subsection within sixty days of the specified time,
then the City may collect any reimbursement funds owed to the Owner or Owner’s assignee under
the contract. The funds collected under this subsection must be deposited in the capital fund of
the City.
9. General Provisions.
9.1 Entire Agreement. This Agreement contains all of the agreements of the parties
and no prior agreements or understandings pertaining to any such matters shall be effective for
any such purpose.
9.2 Modification. No provision of this Agreement may be amended or added to
except by agreement in writing signed by the parties.
9.3 Severability. Any determination by any court of competent jurisdiction that any
provision of this Agreement is invalid, void or illegal shall in no way affect, impair or invalidate any
other provision of this agreement and such other provisions shall remain in full force and effect.
9.4 Successors in Interest. This Agreement shall inure to and be for the benefit of
and shall obligate all of the parties' respective successors in interest, heirs or assigns. In the
event Owner assigns its interests hereunder, a copy of said written assignment shall be provided
to the City.

9.5 Notices. Any notices required to be given by the City to Owner or by Owner to the

be $291,125.00.
5. Reimbursement in Addition to Other Fees; Administrative Fee. The Reimbursement
Amount above referenced shall be in addition to and shall not include any other connection
charges, application charges, capital improvement charges or other fees customarily levied by
the City. Of this Reimbursement Amount, from the Owner’s Share there shall be deducted an
amount equal to five percent (5.0%) of the amounts collected, which shall be retained by the City
of Arlington for the costs of administering this agreement.
6. Indemnification. Owner agrees to indemnify, defend and hold the City harmless from
any and all costs, including attorney's fees and expert witness fees, in the event of suit being filed
contesting the validity of this agreement, any assessment made hereunder, or the procedures
followed by the City in establishing the reimbursements hereunder, or in connections with any
claim, demand, suit or action in connection with the System.
7. Enforcement. The City does not agree to assume any responsibility to enforce this
agreement. If the City becomes aware of persons obligated to pay reimbursement under this
agreement, it shall use its best efforts to collect the reimbursement amount, but shall not incur
any liability in the event it fails to collect such amount. This agreement shall be a matter of public
record and will serve as notice to all potential Latecomers of their obligations hereunder.
8. Owner’s Duty to Inform City of Address Changes. Pursuant to 35.91.020, Owner or
Owner’s assignee under this contract shall, not less than every two years from the date of
execution of this contract, provide the City with information in writing regarding the current name,
address, and telephone number of the person, company, or partnership that originally entered
into the contract and any assignee of the right to reimbursement. If the property owner fails to
comply with the notification requirements of this subsection within sixty days of the specified time,
then the City may collect any reimbursement funds owed to the Owner or Owner’s assignee under
the contract. The funds collected under this subsection must be deposited in the capital fund of
the City.
9. General Provisions.
9.1 Entire Agreement. This Agreement contains all of the agreements of the parties
and no prior agreements or understandings pertaining to any such matters shall be effective for
any such purpose.
9.2 Modification. No provision of this Agreement may be amended or added to
except by agreement in writing signed by the parties.
9.3 Severability. Any determination by any court of competent jurisdiction that any
provision of this Agreement is invalid, void or illegal shall in no way affect, impair or invalidate any
other provision of this agreement and such other provisions shall remain in full force and effect.
9.4 Successors in Interest. This Agreement shall inure to and be for the benefit of
and shall obligate all of the parties' respective successors in interest, heirs or assigns. In the
event Owner assigns its interests hereunder, a copy of said written assignment shall be provided
to the City.

9.5 Notices. Any notices required to be given by the City to Owner or by Owner to the

HISTORY: In 2012, the City began working to mitigate flooding impacts to businesses along 204th St. and in the Jensen Business Park that were caused by a developer’s rerouting of a drainage way into Prairie Creek. The culverts at 71st Ave, 74th Ave, 204th Ave, BNSF, and 69th Ave were undersized to pass the increased flow. The City contracted with Murraysmith in 2012 for analysis, permitting, and design of larger fish-passable culverts and channel restoration to resolve the flooding issue and make this creek capable of passing 100-yr storm event. All culvert replacement and creek restoration work has been completed, except for replacement of the culvert crossing beneath the BNSF railroad tracks and restoration of the creek channel immediately upstream from the culvert. The City applied for and received a grant from FEMA to fund this final flooding and creek restoration work. Phase 1 is for the design phase and the City has elected to continue with the original design firm, MSA, for the final design. This project is on a tight timeline as we

PRAIRIE CREEK DRAINAGE IMPROVEMENTS PHASE 2B
CITY OF ARLINGTON, WASHINGTON
Background
Murraysmith (Consultant) has developed the following scope of work for engineering services to
assist the City of Arlington (City) with preparing bid documents for the Prairie Creek Culvert
Replacement project. The City received grant funding from FEMA in 2020 to support the
construction of the BNSF culvert, which was removed from a previous phase of the project. This
new project is referred to as Prairie Creek Drainage Improvements Phase 2B.
The scope of work has been developed based on the discussions with the City and Consultant’s
understanding of the services desired.
Purpose
The primary task is the preparation of bid documents for the construction of a replacement culvert
under the BNSF railroad near the intersection of 204th Street NE and 69th Avenue NE. The City
will lead permitting for the project, and Consultant will support the permitted effort as requested.
Scope of Work
The proposed scope of work (SOW) is divided into the following major work tasks.
Task 1 – Project Management
Task 2 – Prepare Bid Documents
Task 3 – Permitting Assistance (Contingency Task)
Task 4 – Bidding Assistance
Task 5 – Services During Construction (Deferred)
The above major work tasks are described as follows.
Task 1 – Project Management
Work under this task includes finalizing project scope and general project management for the
duration of the project. The duration of services is anticipated to be complete in January 2020.

1.1 Overall Project Management
Project management will include project start-up, in-house review and task coordination,
coordination with City staff, preparation of monthly progress reports, tracking of project costs,

meetings not provided for elsewhere in other work tasks.
City Responsibilities
1. Provide landowner, business owner, and/or tenant contact information to Consultant in
spreadsheet format (owner name, tenant name, business name, site address, mailing
addresses for each party, tax lot ID, and other pertinent contact info obtained).
2. Provide available as-built and mapping information for project area and immediate vicinity
(pdf and CAD format when available).
3. Obtain Permits of Entry or provide access easements to property belonging to others.
4. Lead and manage the public involvement process, if applicable. Manage the relationship
with the railroad and other jurisdictions involved in the project, with adjacent property
owners, and with the general public.
5. Lead and manage the right-of-way acquisition process, if applicable. Other tasks may
include assigning right-of-way file numbers, generating property descriptions, and exhibits.
Assumptions
1. Services will be provided through project bid advertisement in March 2022 in accordance
with the estimated schedule in this scope of work.

Task 2 – Prepare Bid Documents
This task will produce bid-ready plans and specifications.
2.1 Geotechnical Engineering & Site Visits
Review previous reports and explorations at the site as a basis for providing geotechnical
engineering services in support of the PS&E design, including:
1. Geotechnical and Civil staff will complete a site visit to evaluate current site conditions to
confirm they are consistent with previous work at the site.

2. Provide shallow foundation design recommendations for the culvert including allowable
soil bearing pressures, minimum embedment, and subgrade preparation.
3. Evaluate lateral pressures for design of headwall and wing wall retaining structures,
including seismic pressures and surcharges, as appropriate. This will include an evaluation
of retaining wall alternatives and recommendations for backfill and wall drainage.
4. Provide friction coefficients.
5. Provide recommendations for temporary slopes and shoring, and construction dewatering
considerations.
6. Provide site preparation and earthwork recommendations including structural fill content
and placement criteria, wall backfill criteria, culvert subgrade preparation, and
recommendations for culvert bedding or base layers, as appropriate.
7. Provide permanent slope recommendations.
Assumptions
1. Previous geotechnical field explorations are sufficient to meet BNSF structural
requirements. Additional field explorations are excluded from this SOW.
2. For budgeting, civil discipline site visits will include two staff members and require 8 hours
per staff for preparation, travel, site activity, and recording.
Deliverables
1. Present geotechnical recommendations and conclusions in a written report along with
supporting subsurface information and figures.
2. Civil site notes/memorandum.
2.2 Plans, Specifications and Estimate (60% Draft)
The plans and specifications that were prepared as part of the Prairie Creek Phase 2A project will
be updated to reflect only the work associated with the BNSF culvert replacement. Update design
plans, specifications, and engineer’s opinion of probable construction costs. A list of drawings
anticipated in the complete plan set is provided below.

4. Provide direction on pavement section design if applicable, anticipated to include five (5)
inches of ACP over 12 inches of aggregate base.
5. Lead and manage utility coordination and relocations, with supporting exhibits provided
by Consultant.

6. Supply templates of City standard and supplemental specifications.
7. Supply and assemble all typical City “front end” contract documents for the construction
bid package including invitation to bid, instructions to bidders, bid proposal, bonds,
certificates of compliance, contract, general conditions, etc.
8. Provide bid advertisement and bid document publication, advertisement, and printing
services.
Assumptions
1. City review period is two (2) weeks.
2. Project special provisions will be updated to reflect the WSDOT 2022 Standard
Specifications.
3. Consultant shall apply a Washington Professional Engineer’s stamp with signature and date
on the final bid-ready edition of the design plans and specifications.
4. Utility relocation designs provided by others, if applicable.
5. Traffic control and/or detour plans are not required.
6. Previous boundary and topographic survey information remains sufficient; no additional
survey work is required.
7. Culvert construction is limited to the railroad’s property and improvements within the
City’s right-of-way or other private properties are not required, such as ADA ramps,
sidewalks, roadway, signage, illumination, etc.
8. BNSF will require a manufacturer designed precast reinforced concrete box culvert to
accelerate the construction schedule and minimize track closures. Cast-in-place concrete
or MSE wingwalls or retaining walls designed by the consultant are assumed on the ends
of the culvert. The scope includes consultant support during Task 2.2 to coordinate with a
precast culvert manufacturer for BNSF structural requirements. The PS&E deliverables will
then specify the manufacturer of the culvert, with an option for the Contractor to furnish
an ‘or equal’ product, avoiding a sole source product specification.
Deliverables
1. Submittals to include plans (PDF), contract documents and specifications (MS Word and
PDF), and engineer’s opinion of probable construction cost (PDF) for City review.

The City is leading permitting and will use previous documentation, reports and exhibits
prepared by others to obtain regulatory approval for the project. If the City’s permit
coordination results in the need for Consultant support, the following contingency tasks will be
authorized as needed.
3.1 Regulatory Agency Meetings (Contingency)
Meet with the City and other environmental agencies having jurisdiction over the project, such
as the Washington Department of Fish and Wildlife (WDFW). The City will coordinate and
schedule the meeting(s).
Assumptions
1. Attend up to two (2) virtual meetings, as requested by the City.
2. For budgeting, meetings will include attendance by two (2) Consultant staff members and
will require three (3) hours for each staff to prepare, attend and generate meeting notes.

3.2 Stream Simulation Approach for Fish Passage (Contingency)
Previous phases on the project were documented using Stream Simulation design processes
under WDFW’s Design of Road Culverts for Fish Passage (2003). Deferring the BNSF culvert
resulted in revision to the design standard, which now includes the Stream Simulation
requirements of WDFW’s Water Crossing Design Guidelines (2013, Chapter 3). The Stream
Simulation design approach for both versions of these guidelines appear similar.
This task includes developing supporting exhibits and a brief technical memorandum citing the
requirements for the Stream Simulation design option to facilitate the City’s permitting activity.
Assumptions
o The BNSF culvert will require a 16’ span, consistent with the existing adjacent
downstream (Haskens Road) culvert.
Deliverables

3.3 No Slope Fish Passage (Contingency)
The Regulatory Agencies may permit a No-Slope design for the culvert, as defined by the
WDFW’s Water Crossing Design Guidelines (2013, Chapter 2). Successful fish passage can be
expected if the culvert is sufficiently large and is installed flat, allowing the natural movement of
bedload to form a stable bed inside the culvert.
This task includes developing supporting exhibits and a brief technical memorandum citing the
design requirements for the No Slope design option to facilitate the City’s permitting activity.
Assumptions
1. The information needed for the No-Slope Design Option includes information from prior
studies or provided by others, including:
o the average natural channel-bed width,
o the natural channel slope,
o the elevation of the natural channel bed at the culvert outlet, and
o the evaluation of potential headcut impacts upstream of the culvert.
Deliverables
1. Draft and Final Technical Memorandum (PDF) with supporting exhibits.
3.4 Hydraulic Fish Passage (Contingency)
The Regulatory Agencies may permit a Hydraulic Design for the culvert, as defined by the
WDFW’s Water Crossing Design Guidelines (2013, Chapter 6). Hydraulic design for culverts has
limited application in exceptional circumstances where constraints prevent use of bridges, no-
slope and stream simulation of culverts.
This task includes developing supporting calculations, exhibits and a brief technical memorandum
citing the design requirements for the hydraulic design option to facilitate the City’s permitting
activity.
Assumptions
1. The design velocity of 4 feet per second for a 6” trout is the adult migratory fish standard
during the 10-percent chance of exceedance flow.

4.1 Bidder Inquiries
With direction from City, respond to questions from bidders, subcontractors, equipment suppliers,
and other vendors regarding the project and plans and specifications. Maintain a written record
of communications during bidding process.
4.2 Addenda
Assist the City in the preparation of any addenda as necessary to clarify the contract documents.
City shall coordinate distribution of addenda.
4.3 Pre-Bid Meeting
Attend a voluntary or mandatory pre-bid meeting conducted by the City to review the project with
prospective bidders.
Assumptions
1. Attend up to one (1) virtual meeting, as requested by the City.
City Responsibilities
1. The City will take the lead in tasks associated with printing bid documents, document
distribution, bid advertisement, addenda distribution, plan holder administration, bid
evaluation, bid tabulation, etc.
Deliverables
1. Bidder communications log (MS Word)
2. Addenda as required for the City to distribute to plan holders, up to two (2) (PDF)
Task 5 – Services During Construction (Deferred)
Estimated Schedule
Consultant shall begin work immediately upon receipt of Notice to Proceed from the City and
proceed according to the preliminary estimated schedule presented below, which reflects the
City's desire to complete construction by Fall 2022.

Assumptions
1. The schedule shall be equitably adjusted to account for delays that are outside of the
Consultant’s control.
2. COVID has significantly impacted State and Federal agency permit review times, which can
span three (3) to six (6) months. The City will lead environmental coordination and
permitting.
3. BNSF coordination is required to further identify allowable track closure durations. The City
will lead BNSF coordination and permitting.
4. The schedule is aggressive and will require design and/or construction contracting to
proceed in parallel with permitting. The City will procure the culvert during preparation of
bid documents, and the construction contract will reflect an Owner furnished culvert.
Fee Estimate
The proposed fee estimate by task is based on an estimate of time and material to complete the
work described and is attached in Exhibit B.

Right of Way Procedures
The City of Arlington (Agency), needing to acquire real property (obtain an interest in and/or possession of) in
accordance with the Uniform Relocation Assistance and Real Property Acquisition Policies Act and applicable
federal regulations (49 CFR Part 24) and state law (Ch. 8.26 RCW), and state regulations (Ch. 468-100 WAC)
hereby adopts the following procedures to adhere to all applicable laws, statutes, and regulations. The Agency is
responsible for the real property acquisition and relocation activities on projects administered by the Agency
and must acquire right of way (ROW) in accordance with the policies set forth in the Washington State
Department of Transportation Right of Way Manual M 26-01 and Local Agency Guidelines (LAG).
Below is a list of Agency staff, by names and position titles, that are qualified to perform specific ROW
functions. Attached to these procedures are resumes for everyone listed within these procedures, which provides
a summary of their qualifications. The procedures shall be updated whenever staffing changes occur.
1. The Agency has the staff with the knowledge and experience to accomplish the following ROW
Disciplines:
i. PROGRAM ADMINISTRATION:
Oversee delivery of the ROW Program on federal aid projects for the Agency. Ensures ROW
functions are carried out in compliance with federal and state laws, regulations, policies, and
procedures.
Responsibilities/Expectations:
Ensures Agency’s approved ROW Procedures are current, including staff qualifications,
and provides copies to consultants and Agency staff;
Oversight of ROW consultants;
o use of consultant contract approved by WSDOT
o management of ROW contracts
o management of ROW files
o reviews and approves actions and decisions recommended by staff & consultants
o Overall responsibility for decisions that are outside the purview of consultant
functions
Sets Just Compensation prior to offers being made;
Oversight and approval of Administrative Offer Summaries (AOS) per policy;
Oversight and approval of Administrative Settlements per policy;
Ensure Agency has a relocation appeal process in place prior to starting relocation
activities;
Obligation authority for their Agency;
Obtain permits (Non-Uniform Relocation Act (URA));
Ensures there is a separation of functions to avoid conflicts of interest.
Verifies whether ROW is needed, and that the property rights and/or interests needed are
sufficient to construct, operate and maintain the proposed projects (see LAG Appendix
25.174, 25.175, & 25.176).

ii. APPRAISAL
Prepare and deliver appraisals on federal aid projects for the Agency. Ensures that appraisals are
consistent and in compliance with state and federal laws, regulations, policies, and procedures.
Responsibilities/Expectations:
Use only qualified agency staff approved by WSDOT to perform appraisal work;
Use Appraiser from WSDOT’s Approved Consultant List if Agency does not have
qualified staff;
Prepare ROW Funding Estimate (not required to be completed by an appraiser & only
when there are federal funds in the ROW Phase);
Prepare AOS;
Obtain specialist reports;
Coordinate with engineering, program administration, acquisition, relocation, and/or
property management as necessary.
Contract with qualified consultant
iii. APPRAISAL REVIEW:
Review appraisals on federal aid projects for the Agency to make sure they are adequate,
reliable, have reasonable supporting data, and approve appraisal reports. Ensures appraisals are
adequately supported and represent fair market value and applicable costs to cure and are
completed in compliance with state and federal laws, regulations, policies, and procedures.
Responsibilities/Expectations:
Use only qualified agency staff approved by WSDOT to perform appraisal review work;
Use review appraiser from WSDOT’s Approved Consultant List if agency does not have
qualified staff;
Ensures project wide consistency in approaches to value, use of market data, and costs to
cure;
Coordinate with engineering, program administration, acquisition, relocation, and/or
property management as necessary.
Contract with qualified consultant
iv. ACQUISITION:
Acquire, through negotiation with property owners, real property, or real property interests
(rights) on federal aid projects for the Agency. Ensures acquisitions are completed in compliance
with federal and state laws, regulations, policies, and procedures.
Responsibilities/Expectations:
Use only qualified staff to perform acquisition activities for real property or real property
interests, including donations;
To avoid a conflict of interest, when the acquisition function prepares an AOS, only
acquires property valued at $10,000 or less;
Provide and maintain a comprehensive written account of acquisition activities for each
parcel;

Prepare AOS justification and obtain approval;
Prepare Administrative Settlement and obtain approval;
Prepare Right of Way Funding Estimate (when there are federal funds in the ROW
Phase);
Review title, and recommend and obtain approval for acceptance of encumbrances;
Ensure acquisition documents are consistent with ROW plans, valuation, and title reports;
Provide a negotiator disclaimer;
Maintain a complete, well organized parcel file for each acquisition;
Coordinate with engineering, program administration, appraisal, relocation, and/or
property management as necessary.
Contract with qualified consultants

v. RELOCATION:
Provide relocation assistance to occupants of property considered displaced by a federally funded
projects for the Agency. Ensures relocations are completed in compliance with federal and state
laws, regulations, policies, and procedures.
Responsibilities/Expectations:
Prepare and obtain approval of relocation plan prior to starting relocation activities;
Confirm relocation appeal procedure is in place;
Provide required notices and advisory services;
Make calculations and provide recommendations for Agency approving authority prior to
making payment;
Provide and maintain a comprehensive written account of relocation activities for each
parcel;
Maintain a complete, well organized parcel file for each displacement;
Ensure occupants and personal property is removed from the ROW;
Coordinate with engineering, program administration, appraisal, acquisition, and/or
property management as necessary.
Contract with qualified consultant
vi. PROPERTY MANAGEMENT:
Establish property management policies and procedures that will assure control and
administration of ROW, excess lands, and improvements acquired on federal aid projects for the
Agency. Ensures property management activities are completed in compliance with federal and
state laws, regulations, policies, and procedures.
Responsibilities/Expectations:
Account for use of proceeds from the sale/lease of property acquired with federal funds
on other title 23 eligible activities;
Keep ROW free of encroachments;

Obtain WSDOT/FHWA approval for change in access control along interstate;
Maintain property records;
Ensure occupants and personal property is removed from the ROW;
Maintain a complete, well organized property management file;
Coordinate with engineering, program administration, appraisal, acquisition, and/or
property management as necessary.

b. Any functions for which the Agency does not have qualified staff, the Agency will contract with
another local agency with approved procedures, a qualified consultant, or the WSDOT. An Agency
that proposes to use qualified consultants for any of the above functions will need to work closely with
their ROW Local Agency Coordinator (LAC) and Local Programs to ensure all requirements are met.
When the Agency proposes to have staff approved to negotiate who have limited experience in
negotiation for FHWA funded projects, the LAC must be given an opportunity to review all offers and
supporting data prior to offers being made to the property owners.
c. The Agency’s Administrative Settlement Procedures indicating the approval authorities and the
procedures involved in making administrative settlement needs to be included with these procedures
(see Exhibit A).
d. An Agency wishing to take advantage of the AOS process, properties valued up to $25,000 or less,
need to complete Exhibit B of these procedures.
2. All projects shall be available for review by the FHWA and WSDOT at any time and all project
documents shall be retained and available for inspection during the plan development, ROW, construction
stages, and for a three-year period following acceptance of the projects by WSDOT.
3. Approval of the Agency’s procedures by WSDOT Local Programs may be rescinded at any time the
Agency is found to no longer have qualified staff or is found to be in non-compliance with the regulations.
The rescission may be applied to all or part of the functions approved.

EXHIBIT B
Agency’s Administrative Offer Summary (AOS)
The City of Arlington, hereinafter (Agency), desiring to acquire Real Property according to 23 CFR, Part 635,
Subpart C and State directives, and desiring to take advantage of the $25,000.00 appraisal waiver process
approved by the Federal Highway Administration (FHWA) for Washington State, hereby agrees to follow the
procedure approved for the Washington State Department of Transportation (WSDOT) as follows:
Rules
A. The Agency may elect to waive the requirement for an appraisal if the acquisition is simple and
the compensation estimate indicated on the ROW Funding Estimate is $25,000.00 or less
including cost-to cure items. A True Cost Estimate shall not be used with this procedure.
B. The Agency must make the property owner(s) aware that an appraisal has not been completed on
the property for offers $10,000 or less.
C. The Agency must make the property owner(s) aware that an appraisal has not been completed on
the property for offers over $10,000 and up to $25,000, and that an appraisal will be prepared if
requested by the property owner(s).
D. Special care should be taken in the preparation of the AOS as no review is mandated, the
preparer needs to assure that the compensation is fair and that all the calculations are correct.
Procedures
A. An AOS is prepared using comparable sales found at the time of preparation.
B. The AOS is submitted to the City Administrator or Public Works Director for approval. Upon
signature a first offer to the property owner(s) is authorized.

RIGHT OF WAY ACQUISITION
ADMINISTRATIVE SETTLEMENT POLICY & PROCEDURES
The City of Arlington hereby agrees to implement the following policy and procedures to expedite the
acquisition of real property by agreements with owners and to avoid litigation and relieve congestion to
the courts. It is the city’s intent to make every reasonable effort to expeditiously acquire real property
by negotiation. Furthermore, the City of Arlington recognizes the inexact nature of the process by which
just compensation is determined. Therefore, the implementation of the policies and procedures set
forth are necessary in resolving differences with property owners:
1. Any administrative or stipulated settlement, which exceeds the fair market value, must
be well documented and thoroughly justified.
2. The rationale for the settlement shall be set forth in writing.
3. The extent of written explanation is a matter of judgment and should be consistent with
the circumstances and the amount of money involved.
4. The Consultant shall recommend to the Public Works Director or City Administrator that
the proposed settlement should be approved.
5. The Public Works Director or City Administrator shall have authority to approve
administrative settlements within the following ranges when it is determined that such
action is in the public interest:
Just Compensation Maximum Administrative Allowance
$0 to $100,000 10% of fair market value ($10,000 max)
$100,000 to $200,000 5% of fair market value ($20,000 max)
6. The City Council shall have authority to approve administrative settlements outside the
above ranges, when it is determined that such action is in the public interest.
7. In arriving at a determination to approve an administrative settlement, the Public Works
Director, City Administrator, and the City Council must give full consideration to all
pertinent information, but not limited to the following:
(a) All available appraisal, including the owner’s and the probably range of
testimony in a condemnation trial.
(b) The ability to acquire the property, or possession, through the condemnation
process to meet the construction schedule.
(c) The negotiator’s recorded information.
(d) Recent court awards in cases involving similar acquisition and appraisal
problems.

(e) Likelihood of obtaining an impartial jury in local jurisdictions, opinion of legal
counsel where appropriate.
(f) Estimate of trial cost weighted against other factors.
