NEW BUSINESS
Ordinance Amending Chapter 9.40 of the Arlington Municipal Code and
Criminalizing the Possession of a Controlled Substance without a Prescription City Administrator Paul Ellis reviewed the Ordinance amending Chapter 9.40 of the AMC and criminalizing the possession of a controlled substance without a prescription. A ruling of the Washington State Supreme Court eliminated the criminal penalties as a felony. On February 25, 2021, the Washington State Supreme Court ruled on the case of State v. Blake. The ruling has eliminated any criminal penalties for the possession of a controlled substance without a prescription. This also eliminates the authority of police officers to arrest persons possessing a controlled substance without a prescription or obtaining search warrants to search for controlled substances possessed without a prescription. At this time, Police Chief Jonathan Ventura is requesting to table this item. There was no Council action taken at this time.
Resolution Approving the Change of Indirect Control of a Franchisee City Attorney Steve Peiffle requested Council approve the resolution to change the indirect control of a franchisee, Astound Broadband. Mayor Pro Tem Jesica Stickles moved and Councilmember Marilyn Oertle seconded the motion to approve the Resolution approving the change of indirect control of Astound Broadband, LLC., and authorized the Mayor to sign the Resolution. The motion passed unanimously.
Ordinance Adding Community Engagement Director to Title 2 of the Arlington
Municipal Code Administrative Services and Human Resources Director James Trefry requested Council approve an Ordinance adding Community Engagement Director to the Arlington Municipal Code Title 2. The addition of the Community Engagement Director will update Arlington Municipal Code Title 2 to reflect the City’s current organizational structure. Mayor Pro Tem Jesica Stickles moved and Councilmember Marilyn Oertle seconded the motion to approve the Ordinance adding Community Engagement Director to the Arlington Municipal Code, and authorized the Mayor to sign the Ordinance. The motion passed unanimously.
Appointment of Community Engagement Director Administrative Services and Human Resources Director James Trefry requested Council confirm the Mayor’s appointment of Sarah Lopez as Community Engagement Director, per Arlington Municipal Code. Sarah Lopez has been employed by the City of Arlington as the Community and Economic Revitalization Manager. With this appointment Sarah Lopez will assume the full scope of

duties of Community Engagement Director. Sufficient budget funding for the Community Engagement Director position is included in the adopted 2021-2022 budget.
Mayor Pro Tem Jesica Stickles moved and Councilmember Jan Schuette seconded the motion to confirm the appointment of Sarah Lopez as Community Engagement Director. The motion passed unanimously.
Modification to Salary Schedule for Non-Represented Employees for 2021 Administrative Services and Human Resources Director James Trefry reviewed the modification to salary schedule for non-represented employees for 2021. Mayor Pro Tem Jesica Stickles moved and Councilmember Marilyn Oertle seconded the motion to approve the modification to salary schedule for non-represented employees for 2021 and authorized the Mayor to sign the Ordinance. The motion passed unanimously.
COMMENTS FROM COUNCILMEMBERS Councilmember Mike Hopson attended the National League of Cities regarding the American Jobs Program. He is requesting updates on federal funding the city potentially receives in the near future and where it will be distributed. Mayor Tolbert stated that we have not received funds or have the final amounts, but will report to City Council when this information is available. Councilmember Don Vanney is requesting a further discussion on the legalization of ATVs be brought to a Council Workshop with information on how they are licensed. Mayor Tolbert stated that she would request Police Chief Jonathan Ventura to attend that workshop to explain what the current laws are and ask the WATV President to attend, as well.

Distribution Easement with PUD No. 1 of Snohomish County and Ziply Fiber; and
Utility Easement with Cascade Natural Gas Corporation City Attorney Steve Peiffle reviewed the Distribution Easement with PUD No. 1 of Snohomish County and Northwest Fiber, LLC, a Delaware limited liability company, dba Ziply Fiber; and Utility Easement with Cascade Natural Gas Corporation.
In conjunction with the SMARTCAP development on the Arlington Airport, the City was asked to grant two easements in favor of utility providers (PUD, Ziply Fiber and Cascade Natural Gas). Due to construction scheduling, and after consulting with the City Attorney and City Administrator, the Mayor signed the two easements in order to avoid delays in construction and leasing. These were routine easement requests that a private developer would normally sign, but the City, as the property owner, must sign the easements. Council is being asked to ratify or approve the easements after the fact. [The City’s purchasing policies contain provisions regarding the purchasing of easements but not the granting of easements; we will bring updated provisions to Council in May or June.] Discussion followed with Mr. Peiffle answering Council questions.

Budget Amendment Request for Laserfiche Consulting with Cities Digital Incorporated
(CDI) IT Director Bryan Terry reviewed a budget amendment request for Laserfiche consulting with Cities Digital Incorporated (CDI) for the purchase of a 100-hour block of consulting services with CDI and integration with the City’s financial system, Caselle. As part of the CARES Act funding, the City purchased Laserfiche for electronic document management and workflow processing. This project was not part of the IT department’s 2021 work plan, and is competing with other priority projects. IT is requesting the support of Cities Digital to help develop the forms and workflows that are needed to ensure this platform is adopted and used. IT is also asking that CDI integrate the Laserfiche and Caselle environments to eliminate double entry of information into separate systems. Discussion followed with Mr. Terry answering Council questions.
Low Bid Award for the 2021 Utility Improvement and Pavement Preservation Project
to Reece Construction Company Public Works Director Jim Kelly reviewed the bid tabulation for the 2021 Utility Improvement and Pavement Preservation Project. The City has planned capital improvement projects for the years 2018 – 2021 for the replacement of aged and failing water-sewer-storm infrastructure and to resurface roads in the same streets where utility improvements occur. The roads that get resurfaced are the ones listed in the Transportation Benefit District Pavement Preservation Plan. The utility capital improvements and pavement preservation for year 2021 were advertised for bid in early April and bids were opened on April 15th. The certified low bidder is Reece Construction. Discussion followed with Mr. Kelly answering Council questions.
Utilities Consultant Prequalification for Design Consulting Services Public Works Director Jim Kelly reviewed the utilities consultant prequalification for design consulting services. Public Works staff issued a Request for Qualifications (RFQ) to consulting engineering firms with experience in utility design services for the preparation of engineering design plans, specifications, cost estimates, and construction bid documents for various utility projects for CIP years 2021 and 2022. Arlington operates and maintains a utility system consisting of a Water Treatment Plant, Water Distribution System, Water Reclamation Facility, Sewer Collection System and Stormwater system. Arlington’s Public Works Department identified needed utility system repairs and improvements in its 2021-2022 capital plan and budgeted for these projects accordingly. Staff issued an RFQ seeking consulting engineering firms for services related to the preparation of design plans, specifications, cost estimates, and construction bid documents for 2021-2022 utility improvement projects. Seven qualification packages were received and five firms were deemed to have met needed qualifications and are being recommended for prequalification. Resolution Adopting a Revised Fee Schedule Community and Economic Development Director Marc Hayes reviewed a Resolution adopting an updated fee schedule. Staff has prepared an update to the City’s fee schedule. The fees included in the schedule cover all departments in the City, and address items not included in the Arlington Municipal Code. The Council last updated the City’s fee schedule in August 2020. Discussion followed with Mr. Hayes answering Council questions.
Transfer of the City of Arlington Library Building and Property to Sno-Isle Intercounty
Rural Library District Administrative Services Director / HR Director James Trefry reviewed the proposed transfer of the City of Arlington Library Building and Property to Sno-Isle Intercounty Rural Library District
The City of Arlington is considering transfer of its Library Building and Property to Sno-Isle Intercounty Rural Library District. The Transfer Agreement will shift responsibility for the funding of needed repairs and improvements to the building and adjacent parking lot to Sno-Isle and would facilitate the safe reopening of the building to the public. As part of the Transfer Agreement, the City has the option to reacquire the building, should it de-annex from the District on or before June 1, 2041, subject to certain conditions and limitations. On June 7, 1999, the City approved by Ordinance No. 1194 of the City Council, its intent to annex to the Sno-Isle Library District, finding that the public interest will be served thereby, pursuant to RCW 27.12.360 and RCW 27.12.370 and Sno-Isle’s Board of Trustees did, on June 28, 1999, concur with the annexation subject to the terms and conditions in the Library Annexation Agreement entered into between the City and the District. On September 14, 1999, a special election was held by which voters of the City approved annexation to the Library District, effective January 1, 2001. Sno-Isle Library District currently provides library services to all residents of the City in the Arlington Library in the same manner as it provides services to all other residents of the District. Pursuant to the current Annexation Agreement, Sno-Isle is responsible to provide all library services, including acquisition and maintenance of library collections and materials; staff to operate the facility as a library; tools and equipment necessary to operate the library, including, but not limited to, computers, office equipment, etc.; and custodial maintenance of the interior of the facility, including custodial supplies; and the Arlington Library is presently owned by the City and operated by the District to serve residents of the City and surrounding areas.

Pursuant to the current Annexation Agreement the City has the ongoing responsibility to maintain, repair and rehabilitate the interior and exterior of the Arlington Library, including such items as: carpet and wall repair and/or replacement; parking lot and landscaped grounds maintenance; property insurance; repair and maintenance of roof, plumbing, electrical, heating, cooling, waste water, and other mechanical systems. Discussion followed with Mr. Trefry answering Council questions.
Citizens’ Salary Review Commission Decision Administrative Services Director / HR Director James Trefry reviewed the Citizens’ Salary Review Commission Decision. Heather Logan, Chair of the Commission joined Mr. Trefry.
The City of Arlington’s Citizens’ Salary Review Commission has completed its work for 2021 and filed its compensation decision with the Arlington City Clerk. The notice specifies changes to the Mayor and Council salaries on July 1, 2021, January 1, 2022, and January 1, 2023, and eliminates per meeting compensation as of July 1, 2021. Recommendations were also made to encourage Council to take action through resolution to offer benefit access at different premium contribution levels for the Mayor and Council positions. Finally, there is also a recommendation for the Council to adopt a uniform method to easily account for work they perform and meetings they attend on behalf of the City on a monthly basis. The Arlington Citizens’ Salary Review Commission will meet again in 2023. The Arlington City Council established the Citizens’ Salary Review Commission in January 2015 to set the salaries and per diem reimbursements for the city’s elected officials. Since its formation, the Commission has focused its work on basing salaries and per diem reimbursement of elected officials on realistic standards so that elected officials of the city may be paid according to the duties of their offices, and so that citizens of the highest quality may be attracted to public service. Discussion followed with Mr. Trefry and Ms. Logan answering Council questions.
March Financial Report Finance Director Kristin Garcia reviewed the March 2021 Financial Report. Discussion followed with Ms. Garcia answering Council questions.
ADMINISTRATOR AND STAFF REPORTS City Administrator Paul Ellis had no report this evening.
Community and Economic Development Director Marc Hayes stated that Amazon (Project Roxy) is now under full construction. Mr. Hayes stated that the construction of the first building of NorthPoint Development, is located in Marysville, and has the same truck route as the Amazon trucks. Mr. Hayes will meet tomorrow with NorthPoint for further discussion. The City has an agreement with Panattoni Development for the Amazon construction haul route, and he would like the City of Marysville to follow suit with developers to follow a haul agreement, in order to reduce 172nd Street congestion. Mayor Tolbert stated that an Ordinance will be coming to Council in the near future regarding Marysville’s use of Arlington streets for hauling.

Mr. Hayes is waiting for Smokey Point Community Church’s decision regarding the City’s possible purchase of church property for the proposed future site of Smokey Point Community Park. Mr. Hayes additionally stated that Community and Economic Development is undergoing an internal reorganization with a proposal for two new positions – Planning Manager and Planner I. Staff requests will be brought forward to Council with a budget amendment.
MAYOR’S REPORT None.
COMMENTS FROM COUNCILMEMBERS Councilmember Oertle attended an Arbor Day tree planting of five trees at Quake Field with staff and PARC members. Councilmember Oertle further stated that she and PARC Member Steve Maisch met with Airport Director Dave Ryan and Operations Manager Marty Wray to discuss the placement of observation signs on the Airport Trail. Councilmember Hopson stated that police reform bills have passed through legislature, and inquired whether the police department’s policy manual should be amended to reflect the state’s changes. City Attorney Steve Peiffle stated that he will discuss this matter with Chief Ventura. Lexipol is the third party provider of the policy manual.

A RESOLUTION REPLACING RESOLUTION NO. 2020-014,
AND ADOPTING A REVISED FEE SCHEDULE
WHEREAS, the City Council, through ordinance, has adopted regulations requiring certain
actions and services; and,
WHEREAS, these various ordinances set forth that fees shall be set by resolution; and,
WHEREAS, the cost of providing these various services consistent with applicable codes,
regulations, and policies periodically increase or decrease, or certain services or practices are
discontinued and fees are no longer needed; and,
WHEREAS, it is the intent of the City of Arlington to charge appropriate fees and charges that
are consistent with the services provided and to cover the public cost of providing these various
services so that the public is not subsidizing individual benefits derived therefrom;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ARLINGTON AS
FOLLOWS:
The following rates, fees, and charges for various services provided, actions performed, or items
sold by the city and/or its contract service providers, and fines levied against code violators, are
hereby adopted:
Section 1. Fees and Charges—General.
1.1 Fees. Fees are intended to cover the normal, recurring costs associated with
providing a given service. Fees are non-refundable.
1.2 Prices. In some instances, the City provides certain goods and merchandise for
sale. Prices for these goods may be included in this resolution.
1.3 Payment Due. Fees are due at the time the action is requested (e.g., at time of
application) or occurs (e.g., prior to a specific action). An applicant may pay all fees
of a multi-phased project in advance; however, doing so does not vest applicable
fees due. Fees due are those in effect at the time the specific action or phase of
an action is requested or occurs.
1.4 Waivers. Upon petition by the applicant, the City Council may waive any of the
fees, or portions thereof, for any non-profit organization or government agency.

Section 9. EMS Fees and Charges.
9.1 Fees and Mileage Charges Established. For purposes of AMC Chapter 3.06,
fees and mileage for EMS services shall be set as set forth in Table 9: Emergency
Medical Services Rates and Charges.
9.2 Beginning on January 1, 2021, the rates set forth for the year 2020 shall
be increased annually effective January 1 of each succeeding year by the June
reported percentage increase of the Consumer Price Index (CPI) for the Seattle-
Tacoma-Bremerton area for All Urban Consumers, or other measure commonly used
by the city should it change; provided, however, that notwithstanding any reduction
in the CPI, rates shall not decrease.
9.3 EMS Transport Fees. In accordance with the requirements of 42 Code of
Federal Regulations (CFR) Parts 410 and 414, which provides that Medicare fees and
charges shall apply to Medicare recipients;
A. Unmet (excess fee) Part B Deductible and Part B coinsurance amounts. In

the production of public records requests and all employees earn different
salaries or rates of pay, the public records officer would have to be privy to
salaries of all employees in order to calculate the invoice;
(b) Employees supplying scanned records to the public records officer would be
required to track time spent, thereby creating a burden for those employees
without work stations as well as additional work not assigned in many
employees’ job descriptions and or union contracts;
(c) The City’s public records officer would be required to maintain a record of all
employees who contribute to each part of a public record request and

(d) The City uses more than seven document scanning machines with different

AGREEMENT BETWEEN
THE CITY OF ARLINGTON AND THE SNO-ISLE INTERCOUNTY RURAL
LIBRARY DISTRICT FOR TRANSFER OF THE ARLINGTON LIBRARY BUILDING
THIS AGREEMENT is entered into between the City of Arlington, a Washington
optional municipal code city (hereinafter “the City”) and Sno-Isle Intercounty Rural
Library District, an Intercounty Rural Library District (hereinafter “the District”) for the
purpose set forth below.
WHEREAS, the City entered into a Library Services Agreement with the District
on September 11, 1998; and
WHEREAS, on June 7, 1999, the City approved by Ordinance No. 1194 of the City
Council, its intent to annex to the Sno-Isle Library District, finding that the public interest
will be served thereby, pursuant to RCW 27.12.360 and RCW 27.12.370; and
WHEREAS, the District’s Board of Trustees did, on June 28, 1999, concur with the
annexation subject to the terms and conditions in the Library Annexation Agreement
entered into between the City and the District; and
WHEREAS, On September 14, 1999, a special election was held by which voters of
the City approved to annex to the Library District, effective January 1, 2001; and
WHEREAS, the District currently provides library services to all residents of the
City in the Arlington Library in the same manner as it provides services to all other
residents of the District; and

WHEREAS, included within said responsibilities of the City are the ongoing
responsibilities to maintain, repair and rehabilitate the interior and exterior of the

Arlington Library, including such items as: carpet and wall repair and/or replacement;
parking lot and landscaped grounds maintenance; property insurance; repair and
maintenance of roof, plumbing, electrical, heating, cooling, waste water, and other
mechanical systems; and
WHEREAS, the District and the City agree that it is appropriate for the City to
transfer the Arlington Library property to the District upon certain terms and conditions
as hereinafter set forth; now, therefore,
IN CONSIDERATION OF the terms and conditions set forth below, the City and
the District agree as follows:
1. City to Transfer Arlington Library to the District. The City hereby conveys, quit
claims, transfers and assigns to the District all right, title and interest in and to the
Arlington Library located at 135 N. Washington Ave, Arlington, WA, and the adjacent
undeveloped land (gravel parking lot) located at 107 N. Washington Ave, Arlington,
Washington, as legally described on Exhibit A, including all land, buildings, fixtures,
furniture, artwork, and improvements. The transfer shall be by quitclaim deed. The City
agrees that no additions or modifications to improvements on the subject property shall
be made prior to transfer without the express written approval of the District.
2. Consideration. Upon acceptance and recording of the deed, the District shall
assume the responsibility to maintain, repair, rehabilitate, replace, or expand the
Arlington Library and shall continue to provide all library services as required under the
provisions of said Annexation Agreement for so long as the City remains annexed to the
District, which library services shall be provided in the Arlington Library facility;
provided in the event the District determines in its reasonable discretion, said facility is
no longer suitable or efficient for the provision of said library services, the District shall
acquire an alternative facility within the corporate boundaries of the City from which to
provide comparable library services.
The District shall use the Arlington Library solely for public library purposes and
for other public purposes that the District deems appropriate for library facilities;
provided, however, in the event the District acquires property for an alternate facility
within the corporate boundaries of the City from which to provide comparable library
services, the use and right of the District to sell, lease, transfer, and/or otherwise alienate

the subject Arlington Library property or any interest therein shall be unrestrained and
unencumbered by any provisions in this Agreement or the Quit Claim Deed by which
the Arlington Library property is conveyed to the District.
Upon transfer of the property, the District shall, at its sole cost, secure and cause
to be in effect, insurance or other suitable coverage for the Arlington Library equal to
100% of the replacement value for fire, other perils, earthquake, and flood damage or loss.
The District shall provide City with satisfactory evidence that such coverage is in effect.
3. Condition of Arlington Library. As the user in possession of the Arlington
Library, the District’s knowledge of the condition of the Arlington Library is coextensive
with the City, the District and City hereby agree that, as of the transfer date, City has and
will have fully discharged its obligations under said Annexation Agreement with respect
to the Arlington Library. Except as provided herein, the City has not made, and does not
make, any representations, warranties, promises, covenants, agreements, or guaranties
of any kind whatsoever, whether express or implied, oral or written, relating to the
Arlington Library except that it has no knowledge of any material defects therein nor of
any hazardous or toxic materials on the property. The District acknowledges that the
District has no knowledge of any material defects therein nor of any hazardous or toxic
materials on the property and has not relied on any representations or warranties of any
kind of the City or any agent of the City relating to the Arlington Library except as
expressly set forth herein. Except as set forth herein, the City is not liable or bound in
any manner by any oral or written statements, representations or information pertaining
to the Arlington Library, or the operation thereof, furnished by any real estate broker,
agent, employee, servant or other person. The District further acknowledges and agrees
that to the maximum extent permitted by law, the transfer of the Arlington Library
property as provided for herein is made on an “AS IS”, “WHERE IS” condition and basis
with all unknown faults and defects, and that the City has no obligation to make repairs,
replacements or improvements with respect thereto. Any information relating to the
Arlington Library furnished to the District by the City is furnished on the express
condition that the District shall make an independent verification of the accuracy of such
information, all of which is furnished without warranty.

4. Title. The City shall convey fee title by quitclaim deed. The form of deed to be
used is attached to this Agreement as Exhibit B and incorporated herein by this reference
as if set forth in full. The District shall obtain and pay for an Owner’s Policy of Title
Insurance showing marketable title. The City and the District authorize the party
hereinafter designated as Closing Agent to apply for a preliminary commitment for an
ALTA standard coverage form of Owner’s policy of title insurance to be issued by a Title
Insurance Company selected by the District. The City shall convey title subject to any
and all existing liens and encumbrances and shall not be obligated to clear any such liens
or encumbrances from title in connection with this transaction. The District shall have a
period of thirty (30) days after issuance of the preliminary commitment in order to
determine whether to accept title subject to any and all encumbrances or to not accept
such title and terminate this Agreement. If the District elects to accept title, the Closing
Agent shall proceed to close the transfer.
5. Escrow and Closing.
A. Closing Agent – Date of Closing. Escrow shall be opened with a firm
mutually agreed to by the City and the District, and this firm shall be referred to in this
Agreement as the “Closing Agent”. With the understanding that time is of the essence
of this Agreement, this transaction shall be closed on or before forty-five (45) days after
this Agreement is executed. In the event that this transaction (transfer and conveyance
of the Arlington Library property) cannot be closed by the date provided herein due to
the inability of either party, the Closing Agent, title insurance company, or financing
institution to sign any necessary document, or to deposit any necessary money, because
of any interruption of error or other available transport; strikes, fire, flood or extreme
weather; governmental regulation; incapacitating illness; acts of God; or other similar
occurrences; the closing date shall be extended seven (7) days beyond cessation of such
condition, but in no event more than fourteen (14) days beyond the closing date provided
herein without written agreement of the parties.
B. Expenses of Escrow. Title insurance premiums and all other costs or
expenses of escrow and recording shall be paid by the District, including but not limited
to the following:
i. The full cost of securing the title insurance policy, if any, for the District;
ii. The cost of recording the Deed to the District;

iii. The cost of excise taxes, if any, necessary to record the Deed to the District;
and
iv. Any and all other expenses of escrow and recording not expressly
mentioned above.
C. Closing Defined. Closing, for the purpose of this Agreement, is defined as
the date that all documents are executed and all funds necessary to pay the expenses of
escrow and recording fees have been paid by the District. When notified, the District and
the City will deposit, without delay, in escrow with the Closing Agent, all instruments
and monies required to complete the transaction in accordance with this Agreement.
6. Interlocal Library Annexation Agreement. Upon closing of this transaction
and recording of the deed from the City to the District, the requirements of the City to
own, maintain, repair, and rehabilitate the Arlington Library, as established by the
Interlocal Library Annexation Agreement shall be terminated and of no further effect.
7. Maintenance and Repair. Upon closing of this transaction and recording of
the deed from the City to the District, the District shall assume all responsibility for the
maintenance and repair of the Arlington Library.
8. Paintings & Sculptures. All paintings, sculptures and artwork on the property
of the Arlington Library as of the Closing Date shall be transferred to the District.
9. Costs. Except as expressly provided herein, each party shall bear its own costs
associated with its activities and obligations under this Agreement.
10. Contingent Option to Reacquire. Should the City de-annex from the District
on or before June 1, 2041, then in that event, the City shall have the option to reacquire
all of the real property interests then held by the District, if any, in and to the subject
property, upon not less than 180 day’s prior written notice, to be effective no sooner than
the effective date of such de-annexation, and upon payment by the City to the District of
the amount of documented unamortized costs, if any, of real property improvement
projects costing in excess of $300,000 made to said property by the District, which costs
shall be amortized over periods of twenty (20) years from the dates of payment thereof
by the District.

11. Entire Agreement. This Agreement sets forth the entire agreement of the
parties as to the subject matter hereof and supersedes all prior discussions and
understandings between them. This Agreement may not be amended or rescinded in
any manner except by an instrument in writing signed by a duly authorized officer or
representative of each party hereto.
12. Governing Law. This Agreement shall be governed by and construed and
enforced in accordance with the laws of the State of Washington.
13. Severability. Should any of the provisions of this Agreement be found to be
invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall
be stricken and the remainder of this Agreement shall nonetheless remain in full force
and effect unless striking such provision shall materially alter the intention of the parties.
14. Jurisdiction – Venue. In the event any action is brought to enforce any of the
provisions of this Agreement, the parties agree to be subject to exclusive jurisdiction in
the Snohomish County Superior Court of the State of Washington and agree that venue
shall lie exclusively at Everett, Washington.
15. Attorney’s Fees. In the event that either party brings suit against the other in
order to enforce the terms of this Agreement or to redress any breach thereof, the
prevailing party in any such suit shall be entitled to recover its costs, expert witness fees,
and reasonable attorney’s fees, including fees and costs incurred in connection with any
appeal.
16. Waiver. Except as otherwise expressly provided herein, no waiver of any right
under this Agreement shall be effective unless contained in a writing signed by a duly
authorized officer or representative of the party sought to be charged with the waiver.
No waiver of any right arising from any breach or failure to comply with any provision
of this agreement shall be deemed to be a waiver of any future right or of any other right
arising under this Agreement.
17. Notices. All notices required or permitted under this Agreement shall be in
writing, shall be personally delivered or sent by certified mail, return receipt requested,
and postage prepaid. All notices or requests to any party shall be sent to all other parties
as follows:

18. Survival – Binding Effect. With the exception of paragraph 5, all provisions
of this Agreement shall survive closing. The provisions of this Agreement shall be
binding upon, and inure to the benefit of, the parties hereto and their respective
successors and assigns.
19. Time is of the Essence. Time is of the essence in the performance of each
party’s obligations under this Agreement. Each party will carry out is obligations under
this Agreement diligently and in good faith.
20. Authority. The City is an optional municipal code city organized under Title
35A of the Revised Code of Washington. Sno-Isle is an inter-county library district
organized under Title 27 of the Revised Code of Washington. By executing this
Agreement, the parties each represent that they have authority to enter into this
Agreement under such titles and under Title 39.34 of the Revised Code of Washington.
21. Filing. Pursuant to RCW 39.34.040, a copy of this Agreement shall be filed with
the Snohomish County Auditor. All costs of such recording shall be paid by the District.
